Terms of Service

These Terms of Service (“Terms”) govern access to and use of the Replicurve portfolio replication API, documentation, and related services (collectively, the “Service”). By requesting an API key, calling the API, or otherwise using the Service, you agree to these Terms.

1. The Service

Replicurve is a compute API. It accepts aligned daily return series that you supply and returns replication or offset outputs — such as rebalance weights, portfolio return series, and tracking metrics. The Service does not execute trades, hold assets, or provide market data licensing.

2. No investment advice

Replicurve is not an investment adviser, broker-dealer, or fiduciary. Outputs are mathematical estimates based on inputs you provide. We do not recommend any security, strategy, portfolio, or course of action. You are solely responsible for evaluating outputs, any investment or risk decisions, and compliance with laws and regulations that apply to you.

3. API access and accounts

API keys are issued at our discretion. You must keep keys confidential, use them only for your organization, and notify us promptly of any unauthorized use. You are responsible for all activity under your keys.

Plan limits — including monthly call allowances, preset-universe restrictions, and overage billing — are described on the pricing page and in your order confirmation. Exceeding a hard limit may result in 429 responses until the next billing period or a plan change.

4. Testing credits (trial keys)

Trial keys are provided for integration testing only. Unless we agree otherwise in writing, trial access is:

  • Limited to five successful POST calls per calendar month to /v1/replication or /v1/offset (validation and health endpoints are unlimited).
  • Non-commercial — you may not use trial keys in production workflows, live portfolios, or fee-generating services.
  • Revocable at any time without notice.

Production use requires a paid plan or separate written agreement.

5. Acceptable use

You agree not to:

  • Reverse engineer, probe, or disrupt the Service or its infrastructure.
  • Share, resell, or sublicense API access except as permitted by your plan.
  • Submit unlawful content or data you lack rights to use.
  • Use the Service in a manner that imposes unreasonable load or interferes with other customers.
  • Represent Replicurve outputs as investment advice from us.

6. Your data

You retain ownership of return series and other content you submit in API requests. You grant us a limited license to process that content solely to operate the Service and return responses.

Request payloads are processed in memory and are not written to durable storage as part of normal operation. We meter usage by API key and calendar month. Details are in our Privacy & Data Processing Statement.

7. Intellectual property

We retain all rights in the Service, software, documentation, and branding. These Terms do not transfer any intellectual property to you. API outputs generated from your inputs are yours to use subject to these Terms and applicable law.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUTPUTS WILL MEET YOUR REQUIREMENTS, TRACK ANY BENCHMARK, OR BE ERROR-FREE. PAST OR SIMULATED PERFORMANCE IS NOT INDICATIVE OF FUTURE RESULTS.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, REPLICURVE AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE — EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM (OR USD 100 IF YOU ARE ON A TRIAL OR FREE TIER).

10. Indemnification

You will defend and indemnify Replicurve against claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your inputs, or your violation of these Terms or applicable law.

11. Term and termination

These Terms apply while you use the Service. We may suspend or terminate access for breach, non-payment, abuse, or operational reasons. You may stop using the Service at any time. Sections that by nature should survive (including disclaimers, liability limits, and indemnity) survive termination.

12. Changes

We may update these Terms by posting a revised version with a new effective date. Material changes will be communicated where practicable. Continued use after the effective date constitutes acceptance.

13. General

These Terms are the entire agreement regarding the Service and supersede prior understandings on the subject. If a provision is unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. Governing law and venue will be specified in your order form or master agreement; otherwise contact us to confirm.
